LiveWire Warns of Going-Concern Doubt With $39.9 Million Left and a Restructuring Officer Installed
Harley-Davidson's electric motorcycle unit sold 21% more bikes in the third quarter and still lost $18.6 million, with its related-party term loan due in December 2027.

LiveWire Group said on October 29 that its management has concluded there is "substantial doubt about the Company's ability to continue as a going concern", in a release that shows $39.9 million in cash at September 30, down from $82.8 million at the end of 2025. The company also withdrew its 2026 guidance, which had called for a full-year operating loss of $70 million to $80 million.
The disclosure is in the Q3 2026 results release LiveWire filed with the SEC as an 8-K exhibit. The release contains no executive quotes. Electrek, which reported the story on October 30, said the stock fell more than 40% on Thursday morning; that price move is Electrek's figure, not one from the filing.
What the third quarter looked like
The business grew. It did not close the gap. Revenue rose 38% to $7.9 million on 7,233 consolidated units, up 21% from 5,989 a year earlier, and the operating loss narrowed by 7%.
| Q3 2026 (three months to Sept. 30) | 2026 | 2025 |
|---|---|---|
| Consolidated units | 7,233 | 5,989 |
| Revenue | $7.9M | $5.7M |
| Operating loss | $17.5M | $18.8M |
| Net loss | $18.6M | $19.4M |
Most of those units are not motorcycles. STACYC, the company's electric balance bikes for children, shipped 6,992 units for $5.2 million of revenue. The electric motorcycle segment shipped 241 units for $2.7 million and lost $17.0 million at the operating line. That is roughly $70,500 of operating loss for every motorcycle delivered in the quarter, my arithmetic from the filing's two figures, and it is the number the going-concern language rests on.

Cash, debt and the committee
The nine-month cash burn from operations was $38.3 million, a 16% improvement on the prior-year period, and free cash flow was negative $40.5 million. Shareholders' equity swung to a $5.5 million deficit from $46.0 million positive at year-end 2025, against an accumulated deficit of $356.0 million.

At the nine-month average operating burn of about $4.3 million a month (38.3 divided by nine), $39.9 million lasts a little over nine months. That is a rough reading, not a company projection, and it ignores capital spending and any new financing.
The release lists a long-term related-party term loan of $76.8 million and $8.1 million of other related-party long-term liabilities. It does not name the lender, but it describes Harley-Davidson, Inc. as LiveWire's majority shareholder. Related-party interest expense was $1.5 million in the quarter and $4.4 million for nine months.
Because of the debt maturing in December 2027, the board formed a special restructuring committee on October 22, 2026. The release says the committee has "sole and exclusive authority" to approve or reject any Potential Conflict Matter, which is the filing's term for dealings where LiveWire's interests could diverge from its majority owner's. It appointed Roy Gallagher as Chief Restructuring Officer, who reports to the committee and is the principal executive officer.
What is still shipping
The cheaper S4 Honcho line is the reason the company gives for hope. S4 Honcho Trail units reached the U.S. in August and Honcho Street units reached dealers in October, with European arrivals set for October and November. Electrek put the Honcho starting price below $5,000, a figure it reports and the release does not carry. LiveWire claims 80% of the US electric motorcycle segment above 50 kW, citing Motorcycle Industry Council data for September; that is a company claim about a narrow category.
The committee's remit covers financings, sales and recapitalisations. Whether the majority shareholder extends, converts or refinances the loan is the variable to watch, and nothing in the release says. For a contrast with a vehicle that has a large anchor buyer, see our report on Rivian's commercial van; for another capital-hungry hardware line, see Tesla's Optimus production claim. The 10-Q, due by November 9, 2026, will carry the fuller liquidity note, and Harley-Davidson has scheduled a webcast on its LiveWire segment from 8 a.m. to 9 a.m. Central.
