Prosus's $100 Million Navi Investment Clears CCI, and the Valuation Is Still Not Confirmed by Either Side
The Competition Commission approved it on October 30. A reported $1.3 billion valuation would sit 35% below the $2 billion Navi sought in 2024.
The Competition Commission of India cleared Prosus's $100 million investment in Navi on October 30, according to Inc42, about ten weeks after Prosus announced it on August 19. That is approved, not closed. Prosus's own release says completion still depends on customary closing conditions, and it gives no closing date.
Neither Prosus nor Navi has published a valuation or a stake. The figure in circulation is about $1.3 billion, from reports on August 19 and 20 carried by The Next Web, which notes that Navi did not confirm the price.
What $1.3 billion would mean
The Next Web does not say whether $1.3 billion is pre-money or post-money. The difference is small here. If post-money, $100 million buys about 7.7%. If pre-money, the post-money value is $1.4 billion and the stake is about 7.1%.
The comparison that matters is with the past. In 2024 Navi sought outside capital at about $2 billion, the Next Web reports. A $1.3 billion figure is 35% below that, which makes this a down round against the company's own ask, though not against a prior priced round, because there was none. Inc42 and Prosus both call it Navi's first institutional capital raise.
The CCI filing describes Prosus acquiring a minority interest in the holding company of the Navi Group, per Inc42. The security type is not disclosed.
Two profit figures that point opposite ways
Inc42 gives FY26 figures for Navi Finserv, the lending arm, on two bases.
| Navi Finserv, FY26 | Net profit | Operating revenue |
|---|---|---|
| Standalone | ₹292.2 crore, up 32% | ₹2,461 crore, up 8% |
| Consolidated | ₹93.3 crore, down 46% | ₹2,691.5 crore, up 17% |
The consolidated profit is 32% of the standalone profit. About ₹199 crore of earnings disappears between the lender and the group's other businesses, which the Next Web lists as payments, insurance and mutual funds, plus a UPI app it ranks fourth by transaction volume. Inc42 does not break that gap down, and the group-wide figure Navi gave for Q4 FY26 was only that it reached consolidated profitability, with no number attached.
Lending assets under management crossed ₹13,000 crore, Prosus said. The Next Web puts Navi's July UPI volume at over 947 million transactions worth about $5 billion.
Why the investor is on the cap table now
Ashutosh Sharma, Head of Prosus India Investments and M&A, praised what Prosus called Navi's large base of loyal users and said he looks forward to supporting founder Sachin Bansal after the transaction closes. Bansal, founder and executive chairman of Navi Group, said his association with the Prosus Group goes back more than a decade.
Bansal co-founded Navi in 2018 with Ankit Agarwal and stepped down as chief executive in February 2025, Inc42 reports. The Next Web adds that he funded Navi with hundreds of millions of his own money after selling his Flipkart stake in 2018. Until this deal, no outside institution had priced the company. For other recent valuation resets, see the reported Cognizant stake talks at Sarvam and the post-money maths on Simplismart.
The IPO that frames the price
Reports cited by Inc42 say Navi could refile draft papers with SEBI by December, aiming at a fresh issue of about ₹3,000 crore, with JM Financial, Kotak Mahindra Capital, Goldman Sachs and JPMorgan as advisers. Navi filed for a ₹3,350 crore offering in 2022 and shelved it. None of this is confirmed by the company.
The next observable event is that refiling. A draft prospectus would show the audited group profit, the Prosus stake and the price paid, and would settle the valuation question this deal has left open.
