Cognizant Is Reported in Talks for a Sarvam Stake at $3.5 Billion to $4 Billion, Up From $1.5 Billion in June
The figure comes from an ET report relayed by Inc42, neither company has commented, and the $300 million target equals the size Sarvam's Series B was meant to reach in June.
Cognizant is in talks to take a small stake in Sarvam, the Bengaluru model builder, at a valuation of $3.5 billion to $4 billion, according to a report Inc42 published on October 28 and attributes to The Economic Times. That is 2.3 to 2.7 times the $1.5 billion at which HCLTech led Sarvam's Series B in June. Nothing has been announced, and the range is a negotiating position, not a price.
Inc42's own wording is that "Cognizant could acquire a small stake in Sarvam, although discussions are ongoing." It says it has asked both companies for comment and will update if they reply; its page carries no response. The ET report, as Inc42 relays it, does not say who told it, so every figure below is a report of talks and none of it is a filing.
What the June round raised, as against what it set out to raise
Sarvam's Series B was a $300 million target. On June 16, Tele.net reported that HCLTech would pay ₹14.27 billion, about $150.7 million at the outlet's conversion, for 10.5% of the company in cash, buying 41,421 equity shares. The round's first close was $234 million at a $1.5 billion valuation.
The new report says Sarvam is seeking "about $300 million". That is the original Series B target, and it is $66 million more than the first close. Inc42 does not say whether the new money is the unclosed remainder of Series B at a higher price or a separate round. DealStreetAsia reported on August 3 that Nvidia was to lead a $74 million Series B extension; its page gives no valuation. If both reports held, Series B would already total $308 million, past its original target.
| Date | Event | Valuation reported |
|---|---|---|
| March 24 | Advanced talks for $200 million to $250 million with Nvidia, Accel and HCLTech, per Analytics India Magazine citing Moneycontrol | About $1.5 billion |
| June 16 | $234 million first close, HCLTech 10.5% | $1.5 billion |
| August 3 | Nvidia to lead $74 million extension, per DealStreetAsia | None given |
| October 28 | About $300 million sought, Cognizant in talks, per Inc42 citing ET | $3.5 billion to $4 billion |
What 2.3 to 2.7 times implies
Inc42 does not say whether the range is pre-money or post-money. If it is post-money, $300 million is 7.5% to 8.6% of the company, and Cognizant's "small stake" would be a fraction of that. HCLTech's 10.5% came at a price that implies the company was worth $1.5 billion; the same percentage at the new range would cost $368 million to $420 million.
A strategic investor can pay for a commercial relationship as well as for equity, and an IT services firm buying in is a different bid from a fund doing so. Inc42 notes that Cognizant would be the second IT services major on Sarvam's cap table after HCLTech, and that Cognizant's chief executive, Ravi Kumar, said on an April earnings call that the company saw acquisition opportunities fitting its aim of becoming an AI builder. Whether the multiple reflects Sarvam's revenue is unknowable from this reporting, because no revenue figure appears in any of the four sources.
What Inc42 does list, from ET, is customers: LIC, SBI Life, IDFC First Bank, Tata Capital and CRED. It also names recent products, Sarvam Vision 2.1, Saaras V4 for speech-to-text and Bulbul V4 Flash for text-to-speech, which launched in October.
Who is not named
The report names no Nvidia or Accel participation in the new round. Khosla Ventures and Peak XV are existing investors, alongside Bessemer Venture Partners, which joined in June. Inc42 says Sarvam has held talks with large domestic enterprises to anchor the round. Peak XV also led a different Indian round covered on this site, Hex's $100 million raise, and the question of how much corporate money sits beside fund money recurs in Live2.ai's ₹130 crore round.
The next observable event is an allotment. HCLTech's stake surfaced down to the share count, 41,421 equity shares. No comparable detail exists for Cognizant, and until one appears the defensible statement is that a valuation more than double June's has been floated, not agreed.
