Zetwerk Opened 5.5% Above Its ₹151 IPO Price and Closed 8.4% Below It
Lightspeed and Peak XV took out about ₹800 crore in the offer for sale, while the company kept ₹2,830 crore of fresh money, most of it for debt.
Zetwerk Manufacturing Businesses closed its first day of trading on Friday at ₹138.25 on the NSE, about 8.4% below the ₹151 issue price, after opening at ₹159.25. Inc42 reported that the stock touched ₹127.40 at its low on the NSE. At the BSE close of ₹138.30, the market capitalisation was ₹23,431.54 crore, against ₹25,583 crore post-issue at the offer price.
The listing on 23 October ended an IPO of ₹5,012.3 crore that Inc42 put at ₹2,830 crore of fresh shares and ₹2,182.3 crore of existing shares sold by shareholders. Entrackr, which described the debut as positive, reported the shares opened at ₹159.25, a 5.5% premium.
What the first day looked like
The opening premium lasted little longer than the opening auction. Inc42 gave the intraday high as ₹161 on the NSE and the low as ₹127.40, a range of 26% of the issue price. The close sat roughly 13% below the listing price.
| Measure | NSE | BSE |
|---|---|---|
| Issue price | ₹151 | ₹151 |
| Listing price | ₹159.25 | ₹159 |
| Intraday low | ₹127.40 | ₹127.20 |
| Close | ₹138.25 | ₹138.30 |
Both Inc42 and Entrackr give the same issue price and NSE opening level. Entrackr does not report the close, so the closing figures rest on Inc42 alone.
Who sold and who bought
About 43.5% of the offer, ₹2,182.3 crore of ₹5,012.3 crore, went to selling shareholders. Inc42 listed the promoters and cofounders Amrit Pratik Acharya and Srinath Ramakkrushnan, who each offered up to 1.42 crore shares, a promoter-group entity called Creovate Innovation, and funds linked to Peak XV Partners, Accel India, Lightspeed Venture Partners and Kae Capital.

Inc42 gave Lightspeed's figure as about ₹440 crore. Those four lines total about ₹1,059 crore, roughly half of the ₹2,182.3 crore offer for sale. Inc42 did not break out Accel India's proceeds, so the rest of the offer is not accounted for here.
Anchor investors put in ₹2,251 crore before the issue opened, Entrackr reported, naming Capital Group, BlackRock, Goldman Sachs, Nomura, SBI Mutual Fund, ICICI Prudential Mutual Fund and HDFC Mutual Fund. On the final day, qualified institutional buyers bid 4.73 times the shares reserved for them, non-institutional investors 1.4 times and retail 0.72 times.
Retail subscribed less than the shares set aside for it. Those are the buyers who were holding shares at a loss by the close.
What the company is valued on
Zetwerk's FY26 revenue from operations was ₹15,913 crore, up 40.4% from ₹11,331.9 crore, according to Inc42. Its consolidated net loss widened to ₹1,606.2 crore from ₹370.7 crore, a figure that includes a ₹453 crore impairment on a discontinued civil infrastructure business.
An Inc42 analysis of the filing put adjusted EBITDA at ₹421 crore, a 2.65% margin. At the ₹25,583 crore post-issue valuation, that is about 61 times adjusted EBITDA and 1.6 times revenue. At the closing market capitalisation of ₹23,431.54 crore, the EBITDA multiple falls to about 56.
The last private round Inc42 mentioned was $150 million from D1 Capital Partners in August 2021. Inc42 did not give that round's valuation, so the listing cannot be compared with it here.
Where the money goes
Of the fresh issue, ₹2,160 crore will repay or prepay borrowings of the company and certain subsidiaries, Inc42 reported. The remainder is for acquisitions and general corporate purposes. Operating cash outflow was ₹682 crore in FY26 against ₹386 crore in FY25, per the same analysis.
The pattern follows other recent Indian listings covered here: Tonbo Imaging's debut came with no fresh issue at all, and Garuda Aerospace's filing carried an impairment. Zetwerk differs because debt repayment takes most of the new money.
The next dated test is the company's second-quarter FY27 results. Zetwerk's Q1 FY27 revenue from continuing operations was ₹4,117.9 crore, up 55.4%, and the net loss was ₹733 crore.
