Zetwerk Anchors Take ₹2,251 Crore While Founders and VCs Sell ₹2,182 Crore
The ₹5,012 crore IPO opens Oct. 15 at ₹143 to ₹151 a share, after a loss that widened to ₹1,606.2 crore in FY26.

Zetwerk Manufacturing Businesses raised ₹2,251.23 crore from 99 anchor investors on Wednesday, allotting 14.91 crore shares at ₹151, the top of its ₹143 to ₹151 price band, a day before its IPO opens to the public.
The anchor book is closed, which is the only part of the ₹5,012 crore issue that can be called raised. Public bidding runs from Oct. 15 to Oct. 19, according to Entrackr and Inc42's price-band report. A second Inc42 report on the anchor round gives Oct. 17 as the close, which is a Saturday. This article relies on those two outlets; the red herring prospectus itself was not fetched.
What the ₹5,012 crore is made of
The issue splits into a ₹2,830 crore fresh issue and an offer for sale of up to 14.45 crore shares, worth ₹2,182.3 crore at the upper band. The offer for sale is 44 percent of the total, so close to half of what public investors pay goes to existing holders rather than to the company.
Both pieces grew after the draft filing. Inc42 reports the fresh issue rose from ₹2,600 crore in the updated draft prospectus, and the offer for sale rose 49.2 percent from roughly 9.7 crore shares. Of the fresh money, ₹2,160 crore is earmarked to repay or prepay borrowings of Zetwerk and certain subsidiaries. The rest goes to acquisitions and general corporate purposes.

Who is selling
Lightspeed Venture Partners is the largest outside seller at ₹426.9 crore, followed by Peak XV Partners at ₹353.5 crore, per Entrackr. Inc42 adds funds tied to Accel India and Kae Capital, plus cofounders Amrit Pratik Acharya and Srinath Ramakkrushnan, who may each sell up to 1.42 crore shares. At ₹151, that is about ₹214 crore apiece. Entrackr says Kae Capital and Kalysta Capital could earn up to 38 times their money through the sale.
Who bought the anchor book
Domestic mutual funds took 6.80 crore shares across 61 schemes from 22 fund houses, about 46 percent of the book, with SBI Mutual Fund the largest domestic buyer, according to Inc42. Seven life insurers took 1.10 crore shares. The largest single allocation went to Capital Group's Smallcap World Fund.

A ₹25,583 crore market value on a ₹1,606 crore loss
At the upper band the post-issue market capitalisation is about ₹25,583 crore, or roughly $2.7 billion, Inc42 reports. Against FY26 operating revenue of ₹15,913.3 crore, up 40.4 percent from ₹11,331.9 crore in FY25, that is about 1.6 times revenue, a multiple set against a business that is still losing money.
There is no earnings multiple to calculate. Zetwerk reported a FY26 consolidated net loss of ₹1,606.2 crore, against ₹370.7 crore the year before, driven by discontinued operations and including a ₹796.4 crore exceptional charge and a ₹453 crore impairment. Inc42's two reports differ on FY26 revenue, giving ₹15,739.3 crore in one and ₹15,913.3 crore in the other; the higher figure is used here because it appears in the price-band report.
The first quarter of FY27 looks better on paper. Revenue was ₹4,117.9 crore, up 55.4 percent year on year, and the net loss narrowed 46.4 percent to ₹733 crore, though ₹668.9 crore of that still came from discontinued operations.
For contrast with a private raise, Scimplify's $25 million round came from Hitachi Ventures and two customers, while Zetwerk's price will be tested by public bids. Crunchbase's September unicorn count shows where private valuations clustered last month.
The next observable number is the subscription count when bidding closes on Monday, Oct. 19, which will show whether the ₹151 anchor price holds up with retail and institutional bidders who did not get an allocation.
