AMD's $8.2 Billion World Labs Deal Is Paid in a Floating Number of Shares, About 12.9 Million at Friday's Price
The 8-K fixes the dollar value and leaves the share count to a ten-day average, while the startup AMD is buying was valued near $5 billion eight months ago, per Bloomberg.

AMD agreed on September 26 to buy Fei-Fei Li's World Labs for about $8.2 billion, and the 8-K it filed on September 28 says the whole price is paid in AMD common stock. The deal is announced, not closed. FinanceFeeds reports closing is expected by the end of 2026.
The filing does not name a share count. It sets the number from the daily volume-weighted average price of AMD stock on Nasdaq over the ten consecutive trading days before closing, so the dollar value is fixed and the shares float. Ava Hahn, AMD's senior vice president, general counsel and corporate secretary, signed it.
What the share math looks like
FinanceFeeds calculated that at AMD's October 2 close of $633.91, $8.2 billion works out to roughly 12.9 million shares. AMD had 1,632,475,042 shares outstanding as of July 29, so the issuance is about 0.8 percent of the company. The division checks out.

Because the dollar value is fixed, a falling AMD price means more shares. AMD's market capitalisation was $1.035 trillion on October 2, and its stock rose 35 percent over the 30 trading sessions from August 20, from $469.46 to $633.91, per FinanceFeeds. The ten-day window that sets the count has not started. With the dollar value fixed, World Labs holders are insulated from a pullback in that window, and AMD's existing holders absorb the extra dilution if the price falls first.
The price against the last round
World Labs raised $1 billion on February 18, 2026, from investors including AMD, Nvidia, Autodesk, which put in $200 million, Emerson Collective, Fidelity Management & Research Company and Sea, according to Yahoo Finance. The company did not disclose a valuation. Bloomberg had reported about $5 billion in January, a figure this site has not been able to confirm from a primary document.
Taking Bloomberg's number, $8.2 billion is about 1.6 times the reported mark, reached in roughly seven months. FinanceFeeds describes the price as 8.2 times the February round's size, which compares a price to a raise and says little about return.
Two features of the cap table matter. AMD was a February investor, so part of the stock it issues goes to itself in value terms, and the filing does not say how much. Nvidia, which also invested, is not named as a party to the transaction in anything fetched.
What AMD gets
World Labs builds spatial-intelligence models that generate, reconstruct and simulate interactive 3D environments. Its product Marble creates 3D worlds from image or text prompts. Runway is working a neighbouring problem with its Praxis-1 robot model, whose weights are not out yet. Li, who founded the company, becomes executive vice president and chief scientist at AMD, reporting to chief executive Lisa Su, per FinanceFeeds.

The 8-K carries no retention or vesting terms for Li or the team, and it lists no closing conditions beyond customary adjustments. Whether World Labs staff receive AMD shares subject to vesting is not in the filing.
For comparison, RobCo reached a $1 billion valuation through a $40 million employee share sale, a far smaller physical-A.I. mark. The next observable event is the closing 8-K, which will state the final share count once the ten-day average is set. Regulatory clearance is the other gate before the end-of-year target.
