AMD Pays $8.2 Billion for World Labs, 64% Above Its February Post-Money Valuation
The price is 1.64 times what investors paid seven months ago, and the deal has not closed, needs regulators, and comes with no disclosed revenue.

AMD agreed on September 28 to buy World Labs for $8.2 billion, a price that is 64% above the $5 billion post-money valuation the company carried when it raised $1 billion in February. That headline number says what AMD will pay and nothing about what it gets in revenue, because none of the three sources cited below gives any.
The deal is announced, not closed. TechCrunch reported that completion is expected before the end of the year and depends on regulatory approval. Its report does not say whether AMD is paying in cash, stock or a mix, and the terms of the exchange are the first thing a filing would settle.
What $8.2 billion buys, and what it was worth in February
World Labs, founded two years ago by the computer scientist Fei-Fei Li, builds models that generate and simulate three-dimensional environments. Its first product, Marble, produces entertainment experiences and simulated worlds for training robots, TechCrunch said.
Crowdfund Insider reported in February that the company raised $1 billion at a $5 billion post-money valuation, with Andreessen Horowitz, Nvidia, AMD, Cisco and Autodesk among the investors. Autodesk contributed $200 million of it. Total funding to date stood at $1.23 billion.
The arithmetic is short. February investors paid $1 billion for 20% of the company. Seven months later a buyer is valuing the whole company at 1.64 times that mark, so a share bought in February is, on paper, worth 64% more.

AMD was already an investor
AMD appears on the February investor list, and TechCrunch said the two companies had formed an inference-optimisation partnership the year before. A buyer that sat in the last round and already worked with the company on its chips is not discovering the asset on announcement day. It also means one party to the price was present for both the February mark and the September one.
AMD said that understanding frontier A.I. workloads "will shape its chip-making roadmap," according to TechCrunch. That is a rationale about chip design, not about World Labs' own sales.

Fei-Fei Li's role and the terms on the table
Fei-Fei Li will join AMD as executive vice president and chief scientist, reporting to chief executive Lisa Su, Fortune reported. Fortune also said AMD has become the first company led by a woman to pass a $1 trillion market capitalisation.
Deals like this usually carry retention terms for the founders and researchers who hold the value. Neither source describes any for World Labs.

What neither company has said
None of the three sources gives World Labs' revenue, its headcount or the price of Marble. Without revenue, the only multiple available is against the last private mark, and that mark came from a round in which the buyer took part. For comparison, the site's earlier coverage of General Intuition's $220 million raise priced another world-models company at 2.7 times its June valuation, so a step-up of this size is not unusual for the category.
The next observable event is the regulatory filing. Until AMD files for approval or a document states the consideration, the defensible statement is that AMD has agreed to a price, not that it has paid one. TechCrunch put the expected close before December 31. Nvidia, which also sat in the February round, is covered separately in our report on its Sentry watchdog for BlueField-4.
