AMD's $8.2 Billion World Labs Deal Fixes the Dollar Price, Not the Share Count
The 8-K sets the share count by a ten-day average before closing, and AMD already held a stake from World Labs' February round.

AMD signed a merger agreement on September 26 to acquire World Labs, the San Francisco spatial-intelligence lab co-founded by Fei-Fei Li, for approximately $8.2 billion in AMD common stock. The deal is announced, not closed: AMD expects it to close by the end of 2026, subject to regulatory approvals.
The $8.2 billion is a dollar figure, not a share count. According to AMD's Form 8-K filed September 28, the number of shares will be set from a volume-weighted average price over a ten-day trading period before closing. World Labs holders are promised a value, and AMD's existing shareholders absorb the dilution if the stock is lower when the window runs.
The filing, signed by Ava Hahn, AMD's senior vice president, general counsel and corporate secretary, says the shares will be issued under Section 4(a)(2) of the Securities Act and Rule 506 of Regulation D. It is not a public offering.
What AMD says it is buying
AMD's announcement describes World Labs as a developer of models that generate, reconstruct and simulate interactive 3D environments from text, image and video inputs, plus technology for robotic learning and simulation. Li, World Labs' co-founder and chief executive, will become AMD's executive vice president and chief scientist, reporting to Lisa Su, AMD's chair and chief executive.

Su's reason in the release was that "Building compute platforms for the next generation of AI requires deep understanding of how models are evolving." Futurum Group's analysis reads the deal as AMD moving world-model research inside its silicon design process, on the argument that memory bandwidth matters more than raw compute for that workload. That is Futurum's interpretation, not AMD's.
The price against the last round
World Labs raised $1 billion in a round announced February 19, 2026, from Nvidia, AMD, Fidelity Management and Research Company, Autodesk, Emerson Collective and Sea, Silicon Republic reported. Autodesk put in $200 million of it. The company did not disclose a post-money valuation; earlier press accounts had put it near $5 billion.
Treat the $5 billion as a reported post-money figure and the arithmetic is plain. An $8.2 billion price is 1.64 times it, a 64 percent step-up in about seven months. Against the roughly $1 billion valuation on the $230 million round of 2024, it is 8.2 times.

AMD is on the investor list for the February round, so it is buying out a company it already holds a stake in. Neither the filing nor the release gives the size of that stake, which means the share of the $8.2 billion that returns to AMD itself cannot be worked out from what is public.
What the documents leave out
World Labs sold its first commercial product, Marble, from November 2025. No revenue figure has been disclosed by either company, so no revenue multiple can be calculated, and the premium over the last round is the only anchor.

The next observable fact is the closing filing, which will state how many AMD shares were issued and therefore what the $8.2 billion cost existing holders in percentage terms.
